Parties: Client (you) and Freelancity, including any assigned freelancers ("Contractors").
Confidential Information: Any non-public information disclosed by either party, in any form, including but not limited to product ideas, designs, code, data, financials, and business plans.
- Use & Protection. Recipient will use Confidential Information solely to evaluate or perform the project and will apply reasonable safeguards.
- Exclusions. Information is not confidential if it is (a) publicly available without breach; (b) already known; (c) independently developed; or (d) rightfully received from a third party.
- Required Disclosure. Recipient may disclose if required by law, with prompt notice to the Discloser where legally permissible.
- Return/Deletion. Upon request, Recipient will return or destroy Confidential Information within 10 business days, except archived backups.
- Term. 2 years from last disclosure or until information is publicly known, whichever occurs first.
- No License. No IP rights are granted by this agreement.
- Remedies. Breach may cause irreparable harm; equitable relief is available in addition to other remedies.
- Governing Law. India. Venue: Gurgaon, Haryana, unless otherwise agreed in writing.
